Terms of Service

Welcome to Penagix, a talent intelligence platform developed and operated by JoshuaOnPurpose ("we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and JoshuaOnPurpose governing your access to and use of the Penagix platform, including all associated products, services, assessments, reports, and digital tools available at penagix.com (the "Platform").

By accessing or using the Platform in any capacity — including but not limited to registering an account, completing an assessment, purchasing a subscription, or browsing public-facing pages — you confirm that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are accepting these Terms on behalf of an organization, company, educational institution, or any other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, please immediately cease use of the Platform.

The Platform is available to individuals who meet the following criteria:

• You are at least 16 years of age. Users between 16 and 18 must have verifiable parental or guardian consent.
• You have the legal capacity to enter into binding agreements under applicable law.
• You are not prohibited from using the Platform under any applicable law, regulation, or court order.
• You are not a competitor of Penagix using the Platform for competitive intelligence gathering.

When you create an account, you agree to provide accurate, current, and complete registration information and to keep that information updated throughout your use of the Platform. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at legal@penagix.com if you suspect unauthorized access.

Penagix reserves the right to decline registration, suspend, or terminate accounts at its sole discretion, including where we have reason to believe that information provided is inaccurate or that account activity violates these Terms.

Penagix is a talent intelligence and self-discovery platform built on the RIASEC psychometric framework. The Platform maps an individual's dominant trait profile to a unique set of functional gifts — competency domains derived from the intersection of RIASEC codes — to support career alignment, hiring decisions, and organizational development.

Our services include:

• Individual Assessments: Psychometric instruments designed to surface your dominant RIASEC profile and corresponding functional gifts.
• Intelligence Reports: Personalized reports detailing your gift profile, strengths, role alignment recommendations, and learning pathways.
• Atlas Engine: A searchable database of gifts, roles, and assessments for talent research and organizational use.
• Team & Cohort Tools: Features enabling organizations to assess and manage groups of individuals under a unified account structure.
• Partnership Services: Enterprise integrations, white-labeling options, and institutional access programs.
• Agent Program: A referral and commission structure for approved Penagix agents operating under separate agreements.

We reserve the right to modify, suspend, or discontinue any feature or service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform or its features.

Certain features of Penagix require the purchase of a subscription or one-time payment. All pricing is displayed on the Platform in Nigerian Naira (NGN) or the applicable local currency determined at checkout.

Payment Processing

Payments are processed via Paystack and/or Stripe, each operating under their own terms and privacy policies. JoshuaOnPurpose does not store your full payment card details on its servers. By initiating a payment, you authorize us to charge your selected payment method for the applicable fees.

Subscription Tiers

• Student Tier: Early-access pricing for enrolled students with valid institutional credentials.
• Graduate Tier: Standard individual pricing for graduates and professionals.
• Professional Tier: Premium access with enhanced features and priority support.
• Organizational / Team Plans: Seat-based pricing for institutions and enterprises.

Coupons & Discounts

Promotional coupons are subject to their stated terms, including expiry dates, usage limits, and applicable tiers. Misuse of promotional codes — including sharing, duplication, or circumvention — constitutes a material breach of these Terms and may result in account termination.

Refund Policy

All purchases are final and non-refundable unless otherwise required by applicable law or explicitly stated in a separate written agreement. If you believe a charge was made in error, contact legal@penagix.com within 7 days of the transaction.

Price Changes

Penagix reserves the right to change pricing at any time. Price changes will be communicated with at least 14 days' notice via the email address on your account. Continued use of the Platform after price changes take effect constitutes your acceptance of the revised pricing.

The Platform, including all content, software, algorithms, frameworks, gift mappings, assessment instruments, visual design, brand assets, data structures, documentation, and methodologies (collectively, "Penagix IP"), is the exclusive property of JoshuaOnPurpose and/or its licensors, protected under Nigerian and international intellectual property laws.

Subject to your compliance with these Terms, JoshuaOnPurpose grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial purposes, or for your organization's internal purposes under an applicable enterprise agreement.

You may not, without express prior written consent:

• Reproduce, copy, modify, adapt, translate, or create derivative works of any Penagix IP.
• Reverse-engineer, decompile, or attempt to extract source code from the Platform.
• Resell, sublicense, or otherwise commercially exploit any portion of the Platform or its outputs.
• Remove or alter any proprietary notices, branding, or watermarks.
• Use Penagix IP to build a competing product or service.
• Scrape, crawl, or systematically extract data from the Platform.

Your assessment results and generated reports are licensed to you for personal use. JoshuaOnPurpose retains all intellectual property rights in the underlying methodology, scoring logic, and framework. Aggregated, anonymized data derived from platform usage may be used by JoshuaOnPurpose for research, product improvement, and publication purposes.

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. The following activities are strictly prohibited:

• Impersonating any person or entity, or falsely representing your affiliation.
• Submitting false, misleading, or inaccurate information during assessment or registration.
• Attempting to gain unauthorized access to restricted areas of the Platform, other accounts, or our infrastructure.
• Transmitting viruses, malware, or any code designed to interrupt, damage, or limit platform functionality.
• Using automated tools, bots, or scripts to interact with the Platform without written authorization.
• Harvesting or collecting user data without consent.
• Engaging in any activity that interferes with other users' access or enjoyment of the Platform.
• Engaging in or facilitating academic dishonesty, credential fraud, or any deceptive hiring practice.
• Using the Platform in any manner that violates applicable laws, including data protection, consumer protection, and anti-discrimination laws.

Violation of this section may result in immediate account suspension or termination without refund, and may be referred to appropriate law enforcement authorities.

Penagix assessments are designed as self-discovery and career alignment tools grounded in the RIASEC psychometric framework. They are not clinical psychological evaluations, medical diagnoses, or legally certifiable credentials.

Assessment results reflect self-reported responses and are inherently subjective. Results may vary depending on your state of mind, context, and the accuracy of your responses. JoshuaOnPurpose makes no warranty that results will predict specific outcomes, including but not limited to employment, academic performance, or personal achievement.

Assessment results should be interpreted as one data point among many and are not a substitute for professional career counseling, psychological evaluation, or human judgment in hiring decisions. Penagix expressly disclaims liability for any hiring, educational, or professional decisions made in reliance on assessment outputs.

Organizations using Penagix data in hiring processes are solely responsible for ensuring their practices comply with applicable employment and anti-discrimination laws, including but not limited to the Nigerian Labour Act and applicable GDPR or equivalent data protection frameworks.

The Platform may integrate with or link to third-party services including payment processors (Paystack, Stripe), communication platforms (Resend), cloud infrastructure providers (Supabase, Vercel), and analytics tools. These third-party services operate under their own terms and privacy policies, and JoshuaOnPurpose is not responsible for their practices, availability, or content.

Your interactions with third-party services are solely between you and those third parties. We encourage you to review the terms and privacy policies of any third-party service you engage with through or in connection with the Platform.

Affiliate and Referral Links: Some links to third-party websites or services may be affiliate or referral links. Where applicable, Penagix may receive a commission or referral fee if you complete a qualifying action after following such a link. This does not necessarily affect the price paid by the user. Any commercial relationship does not constitute a guarantee or endorsement of the third party's products, services or outcomes.

These Terms remain in effect until terminated by either party. You may terminate your account at any time by submitting a written request to legal@penagix.com. Termination does not entitle you to a refund of any fees paid.

JoshuaOnPurpose may terminate or suspend your access at any time, with or without cause, with or without notice, effective immediately, including for violations of these Terms, non-payment, fraudulent activity, or as required by law.

Upon termination, your right to use the Platform ceases immediately. The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. JoshuaOnPurpose expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any content or information available on the Platform.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOSHUAONPURPOSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES arising from your use of or inability to use the Platform, including loss of data, revenue, profits, or goodwill, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the greater of (a) the total fees paid by you to JoshuaOnPurpose in the twelve (12) months preceding the claim, or (b) NGN 10,000 (Ten Thousand Naira).

You agree to defend, indemnify, and hold harmless JoshuaOnPurpose, its officers, directors, employees, contractors, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms or any applicable law or regulation.
• Your use or misuse of the Platform or any content accessed through it.
• Any false or misleading information you provide to Penagix.
• Your infringement of any third-party right, including intellectual property or privacy rights.

JoshuaOnPurpose reserves the right to assume exclusive control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate reasonably with JoshuaOnPurpose's defense.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Informal Resolution: Before initiating any formal legal proceeding, you agree to contact JoshuaOnPurpose at legal@penagix.com and attempt in good faith to resolve any dispute informally. JoshuaOnPurpose will similarly attempt to resolve disputes informally.

Arbitration: If informal resolution fails within 30 days, any dispute arising from or relating to these Terms or the Platform shall be submitted to binding arbitration in accordance with the rules of the Lagos Court of Arbitration, or such other mutually agreed arbitration body. The arbitration shall be conducted in English and located in Lagos, Nigeria.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Notwithstanding the foregoing, JoshuaOnPurpose reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened violation of its intellectual property rights.

JoshuaOnPurpose reserves the right to modify these Terms at any time. When we make material changes, we will provide notice via email (to the address on your account) and/or by posting a prominent notice on the Platform at least 14 days prior to the effective date of changes, except where changes are required by law.

Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform and may request account deletion at legal@penagix.com.

We maintain an archive of previous versions of these Terms accessible upon written request.
